1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Review Setup LLC, a limited liability company organized under the laws of the State of Minnesota ("Company," "we," "us," or "our"), governing your access to and use of the website located at www.reviewsetup.com and all associated services, products, and content (collectively, the "Services").

By accessing our website, creating an account, purchasing a subscription, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies incorporated by reference herein.

If you do not agree to these Terms, you must immediately discontinue use of our Services.

2. DESCRIPTION OF SERVICES

Review Setup LLC provides reputation management services, including but not limited to Google Business Profile (GBP) management, Google review acquisition and monitoring, review response strategies, and related reputation enhancement tools ("Services"). Our Services are offered on a monthly subscription basis.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable prior notice to active subscribers.

2.1 Service Platforms

Our Services are delivered and managed using the following third-party platforms:

• GoHighLevel (GHL) – CRM, automation, and client communication platform
• Stripe – Payment processing and subscription billing
• Google Business Profile (GBP) – Review management and local SEO services

Your use of these Services may also be subject to the respective terms of service of these third-party platforms. We are not responsible for third-party platform changes, outages, or policy modifications that may affect service delivery.

2.2 Geographic Scope

Our Services are intended solely for clients and users located within the United States. By using our Services, you represent and warrant that you are located in the United States.

3. ELIGIBILITY

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be a legal resident or registered business entity in the United States
• Not be prohibited from using the Services under applicable law

By using our Services, you represent and warrant that you meet all eligibility requirements stated above.

4. USER ACCOUNTS

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Promptly update your account information if it changes
• Notify us immediately of any unauthorized access or use of your account

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

5. SUBSCRIPTION TERMS AND BILLING

5.1 Subscription Plans

Access to our full Services requires a paid monthly subscription. Subscription details, including pricing and included features, are provided on our website and in your service agreement. We reserve the right to modify subscription pricing with at least thirty (30) days advance notice to active subscribers.

5.2 Billing and Payment

By subscribing to our Services, you authorize us to charge your designated payment method on a recurring monthly basis through our payment processor, Stripe. You agree to:

• Provide valid and current payment information
• Maintain sufficient funds or credit to fulfill billing obligations
• Promptly update payment information upon expiration or change

All fees are stated in U.S. Dollars. Applicable taxes may be added to your subscription fee as required by law.

5.3 Failed Payments

If a payment fails, we reserve the right to suspend or terminate access to Services until payment is received. We may make multiple attempts to process payment before suspending your account.

5.4 Cancellation Policy

You may cancel your subscription at any time by contacting us or through your account settings. Cancellations take effect at the end of the then-current billing period. We do not provide refunds for partial months of service unless otherwise required by applicable law or expressly agreed upon in writing.

5.5 Refund Policy

Subscription fees are generally non-refundable. Exceptions may be considered on a case-by-case basis at our sole discretion. If you believe you are entitled to a refund, please contact us within fifteen (15) days of the charge in question.

6. ACCEPTABLE USE POLICY

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use our Services for any fraudulent, deceptive, or illegal purpose
• Post, submit, or solicit false, fabricated, or misleading reviews on any platform
• Violate Google's Terms of Service, Review Policies, or any applicable platform policies
• Attempt to manipulate search rankings through prohibited means
• Engage in any activity that could damage our reputation or that of our clients
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated scripts, bots, or other means to scrape or extract data from our Services
• Transmit any viruses, malware, or other harmful code
• Harass, abuse, or harm any other person

We reserve the right to terminate your access to the Services immediately and without notice if you violate this Acceptable Use Policy.

7. REVIEW MANAGEMENT AND COMPLIANCE

Our reputation management services are designed to help businesses generate authentic reviews from their genuine customers and manage their online presence. You acknowledge and agree that:

• We do not guarantee a specific number of reviews, star ratings, or search ranking improvements
• All reviews generated through our programs must reflect genuine customer experiences
• You will not use our Services to solicit, generate, or post fake, paid, or incentivized reviews in violation of Google's policies or the FTC's Endorsement Guides
• You are solely responsible for ensuring your review solicitation practices comply with all applicable laws, regulations, and platform policies
• We are not responsible for reviews removed, flagged, or penalized by Google or any third-party platform

We reserve the right to terminate Services immediately if we determine that you are using our platform in violation of Google's Terms of Service or any applicable law.

8. COMMUNICATIONS

8.1 SMS Communications

By providing your mobile phone number, you expressly consent to receive SMS text messages from us for purposes including account notifications, service updates, campaign reports, and promotional messages. Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP to any text message or contacting us directly.

8.2 Email Communications

By providing your email address, you consent to receive emails from us including service-related communications, billing notifications, and marketing messages. You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any email or contacting us directly. You cannot opt out of service-related and transactional emails while you maintain an active subscription.

8.3 CAN-SPAM and TCPA Compliance

All our email communications comply with the CAN-SPAM Act. All SMS communications comply with the Telephone Consumer Protection Act (TCPA). We will honor all opt-out requests promptly.

9. INTELLECTUAL PROPERTY

All content, trademarks, logos, service marks, trade names, graphics, software, and other intellectual property associated with the Services and the Review Setup LLC brand are owned by or licensed to us and are protected by applicable United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. You may not:

• Copy, modify, or create derivative works of our content or Services
• Reverse engineer or attempt to extract source code from our software
• Use our trademarks or branding without our express written consent
• Resell, sublicense, or otherwise transfer access to our Services

10. THIRD-PARTY SERVICES AND LINKS

Our Services integrate with and may link to third-party platforms including GoHighLevel, Stripe, and Google Business Profile. We do not control these platforms and are not responsible for their content, privacy practices, or terms of service. Your use of third-party services is governed by their respective terms and policies.

We are not responsible for any damages, losses, or liabilities arising from your use of or reliance on third-party platforms or any interruption of those services.

11. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
• WARRANTIES THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED

WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF OUR REPUTATION MANAGEMENT SERVICES, INCLUDING IMPROVEMENTS IN STAR RATINGS, REVIEW COUNTS, OR SEARCH RANKINGS.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVIEW SETUP LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO REVIEW SETUP LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Review Setup LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit through the Services.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation. If the parties cannot resolve the dispute within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

Arbitration shall take place in Minnesota. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

15. TERMINATION

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, non-payment, or abusive conduct toward our staff.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including Sections on Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date, and where appropriate, by email or SMS notification. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

17. MISCELLANEOUS

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and us regarding the Services.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including acts of God, government restrictions, or third-party platform outages.
